Windtree Therapeutics Sells Heart Drug Assets to Seismic Pharmaceuticals

Windtree Therapeutics, Inc. has finalized an agreement to sell its cardiovascular drug candidates to Seismic Pharmaceutical Holdings, LLC, a private investment group. This move allows Windtree to shift its focus away from the costs and risks associated with further development while retaining a long-term economic interest in any future successes related to the assets.

As part of the transaction, Seismic will take over the cardiovascular portfolio and manage its ongoing development. Windtree will benefit from 20 percent of any milestone payments, royalty streams, or similar economic interests generated by these assets. This includes potential global commercial net revenues if the drugs receive regulatory approval and reach the market.

In addition to these arrangements, Windtree will receive a contingent cash payment. If Seismic completes a financing round that raises at least $10,000,000 in gross proceeds for development, Windtree will obtain $700,000 from the funding. The transaction also involves transferring certain cardiovascular development-related payables to Seismic, which will further lessen Windtree’s near-term financial obligations.

Strategic Shift and Market Potential

Windtree’s Chief Executive Officer, Jed Latkin, emphasized that this agreement represents a strategic shift for the company. By monetizing past research, Windtree is tightening its balance sheet while preserving potential upside from the cardiovascular candidates. According to Latkin, the deal offers non-dilutive value through future proceeds and alleviates the need for Windtree to finance ongoing work on these assets.

The drugs in question primarily target acute heart failure, a condition responsible for millions of hospital admissions each year. Windtree estimates that there were approximately 2.1 million hospitalizations in the United States and 2.7 million in the European Union in 2022. The company believes that the global market opportunity for effective treatments for acute heart failure could reach billions of dollars, driven by the large patient population and the scarcity of transformative therapies.

For Seismic Pharmaceutical Holdings, acquiring these assets provides a significant opportunity to advance cardiovascular candidates in a field with considerable unmet medical needs.
